1. Introduction
We are responsible for maintaining and protecting the Personal Information under our control. We have designated an individual or individuals who is/are responsible for compliance with our privacy policy.

These Terms and Conditions (“Terms”) govern your access to and use of the ProNexus website and any related products and services provided by ProNexus AI Inc. (doing business as “ProNexus,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility and Authority
You may use the Services only if you are legally able to enter into a binding agreement. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
Accounts and Access
Certain features require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must promptly notify us of any unauthorized use of your account or suspected security incident involving your credentials.
Permitted Use and Restrictions
You agree to use the Services only for lawful business purposes and in accordance with these Terms. You will not access or use the Services to violate any applicable law or third party rights, attempt to gain unauthorized access to systems, disrupt the Services, or introduce malware. You will not reverse engineer, decompile, or attempt to discover the source code of the Services except to the extent that restriction is prohibited by law.
Customer Content and Responsibilities
In connection with the Services, you or your organization may submit or connect information, data, text, files, communications, or other content (“Customer Content”). You retain your rights to Customer Content. You represent that you have all rights, permissions, and lawful basis necessary to provide Customer Content to ProNexus and to allow ProNexus to process it to provide the Services.
You are responsible for configuring the Services appropriately for your organization, including user access, integration permissions, and any retention or export settings that are available to you.
Integrations and Third Party Services
The Services may interoperate with third party services such as email, calendar, messaging, CRM, or scheduling tools. Your use of third party services is governed by your agreements with those providers. We are not responsible for third party services, including their availability, security, or data handling practices. You authorize us to access and process data from connected third party services as directed by you or your authorized users.
Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that you have read the Privacy Policy.
Intellectual Property
The Services, including all software, design, text, graphics, and other content provided by ProNexus, are owned by ProNexus or its licensors and are protected by intellectual property laws. Subject to these Terms, ProNexus grants you a limited, non exclusive, non transferable, revocable right to access and use the Services for your internal business purposes.
If you provide feedback or suggestions about the Services, you grant ProNexus the right to use them without restriction or obligation.
Subscription, Fees, and Trials
If you purchase a subscription or paid Services, fees, billing terms, and any usage limits will be described in an order form, statement of work, or other written agreement between you and ProNexus. Trials, betas, or early access features may be offered at our discretion and may be modified or discontinued at any time.
Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, ProNexus disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Services will be uninterrupted, error free, or secure, or that defects will be corrected.
Limitation of Liability
To the maximum extent permitted by law, ProNexus and its affiliates, officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Services.
To the maximum extent permitted by law, ProNexus’s total liability for all claims arising out of or related to the Services will not exceed the amounts you paid to ProNexus for the Services giving rise to the claim in the twelve months before the event that resulted in the claim, or one hundred dollars if you have not paid ProNexus in that period.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless ProNexus and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to your Customer Content, your use of the Services, or your violation of these Terms.
Termination
We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, pose a security risk, or misuse the Services. You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Venue.
Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice. Your continued use of the Services after the effective date of updated Terms constitutes acceptance.
Governing Law and Venue
Any disputes arising out of or relating to these Terms, the Privacy Policy, or the Services will be governed by the laws of the State of New York, without regard to conflict of law rules. Any dispute, action, or proceeding must be brought in the state or federal courts located in New York County, New York, and you irrevocably consent to the exclusive jurisdiction and venue of those courts.
